Invoice Account Terms
Last updated: 15 October 2026 · Version 2: default interest is 5% per year, the Swiss statutory rate (4.2), and the courts are those of Zurich, Switzerland, as in all FBF terms for businesses (10). Version 1 (15 October 2026): first published version.
Fashion Brand Finder is operated by M8 Media by Manuel Bucher, a sole proprietorship under Swiss law, entered in the commercial register of the canton of Zurich (CH-020-1087977-7), UID CHE-203.493.947, Kaffeestrasse 6C, 8180 Bülach, Switzerland ("FBF", "we"). These terms apply between FBF and the business named in the invoice account application (the "Customer") when FBF lets the Customer pay by invoice. They add to FBF's Merchant Terms (for brands and for stores) and Advertising Terms. Order of precedence: a framework agreement signed by both parties; these Invoice Account Terms; the other FBF terms; the order confirmation. Pre-printed terms on the Customer's purchase orders or portals do not apply unless FBF signs them.
1. The invoice account
1.1 FBF decides at its discretion whether to open an invoice account, at which level, with which payment terms, credit limit, currency and purchase order rules. We tell the Customer in FBF Studio and by email. Card and prepaid payment remain available.
1.2 Levels:
- Net 14: payment within 14 days of the invoice date; a payment card is kept on file as security (section 6).
- Net 30: payment within 30 days of the invoice date, after a credit check paid by FBF.
- Enterprise: a signed agreement with purchase orders; payment within 30 days, longer only by written exception, and never more than 60 days.
- Prepaid: for new, very young and sole-trader businesses. A deposit secures bookings; the credit limit equals the deposit paid.
1.3 The account covers every paid FBF product booked by any user of the Customer's FBF Studio account: plans, extra shops, store listings, Runway and the home hero. The Customer is bound by bookings its Studio users make and manages who has access.
1.4 The Customer keeps its legal name, address, tax number, accounts payable address and ownership up to date and tells FBF of a change of control. FBF may run credit checks and sanctions screening at the start and later. How FBF handles the personal data involved is described in the privacy policy.
2. Credit limit
2.1 What counts against the limit: invoices not yet paid (less credit notes), delivered services not yet invoiced (for example Runway clicks of the current week), and bookings made but not yet invoiced (including the remaining monthly cap of Runway on invoice).
2.2 A booking that does not fit within the credit left is not accepted on invoice; the Customer may pay it by card. When the limit is reached, new bookings on invoice stop and Runway on invoice pauses until invoices are paid or FBF raises the limit.
2.3 FBF may lower or withdraw the limit at any time with notice by email, with immediate effect if an invoice is overdue or the Customer's situation changes materially.
3. Invoices and payment
3.1 Invoices are issued through FBF's payment provider, Stripe, and sent to the accounts payable address. Each invoice states its due date and is in the account's billing currency. FBF is not registered for VAT and charges no VAT; each invoice says so and shows FBF's UID.
3.2 Every payment goes through Stripe, on the payment page of the Stripe invoice, with the methods shown there:
- CHF invoices: by card, or by TWINT (up to CHF 5,000 per payment).
- EUR, USD and GBP invoices: by card, or by bank transfer through Stripe to the account details shown on the Stripe invoice; EUR invoices also by SEPA Direct Debit.
FBF takes no payment to any other account. A payment counts when Stripe records it as received.
3.3 The Customer bears its own bank and payment charges and pays the invoice amount in full. A short payment stays owed.
3.4 Purchase orders. If the Customer requires a purchase order (PO), it gives the PO number with each booking or uses a blanket PO it registered in FBF Studio (value and validity). FBF prints the PO number on the invoice, never invoices above a PO's value and never puts two POs on one invoice. A missing or exhausted PO stops new bookings on invoice; it does not reduce amounts already owed for services delivered.
3.5 Disputes. The Customer raises any objection to an invoice in writing within 14 days of the invoice date, with reasons. The undisputed part stays due on the due date. Corrections are made by credit note; an issued invoice is never changed.
3.6 Set-off. The Customer may set off only claims that FBF accepts in writing or that a court has confirmed.
4. Late payment
4.1 The Customer is in default without a reminder once the due date passes (OR Art. 102 para. 2).
4.2 From the due date the Customer owes default interest of 5% per year (OR Art. 104) and a fixed compensation for recovery costs of EUR 40 (CHF 40, GBP 40 or USD 45, in the invoice currency) per overdue invoice, plus reasonable collection costs.
4.3 Reminders: we remind the Customer 3 days after the due date; after 10 days new bookings on invoice are blocked (running campaigns continue); after 21 days we send a final notice naming the suspension date; after 30 days the account is suspended (section 5). After 45 days FBF may hand the claim to a collection agency or, for Swiss debtors, start debt enforcement.
5. Suspension and release of bookings
5.1 FBF may suspend the account when an invoice is 30 days overdue, the limit is exceeded, the Customer breaches these terms, or there are signs of insolvency. While suspended: no new bookings on invoice; Runway on invoice pauses; paid plans may fall back to free features.
5.2 Bookings that have not started (for example home hero weeks) may be released and offered to others once an invoice is 30 days overdue, after notice by email. The cancellation terms of the Advertising Terms apply to released bookings. FBF is not liable for delivery paused or released under this section.
5.3 The account resumes once overdue invoices are paid, unless FBF closes it.
6. Card on file (Net 14) and deposit (Prepaid)
6.1 For a Net 14 account the Customer keeps a valid payment card on file with Stripe. The Customer authorises FBF to charge an invoice to that card once it is 7 days overdue, after the reminder of section 4.3.
6.2 A deposit secures bookings on a Prepaid account. It is paid through Stripe like an invoice and earns no interest. FBF may set amounts due and unpaid against the deposit. The rest is paid back when the account is closed.
7. Rights in delivered services
Placement rights, plan features, reports and any licence to FBF marks are granted subject to full payment.
8. Term and termination
Either party may close the invoice account with 30 days' notice by email. FBF may close it at once for an important reason, including default or insolvency. On closing, all open amounts become due at once.
9. Changes
FBF may change these terms with 30 days' notice in FBF Studio and by email. Continued booking on invoice after the change takes effect means acceptance; FBF Studio asks for the new version to be accepted before the next booking on invoice.
10. Law and courts
Swiss law applies, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. Courts: Zurich, Switzerland (the Commercial Court of the canton of Zurich where its conditions are met). For Customers in the United States, disputes are decided by arbitration under the Swiss Rules of International Arbitration, seat Zurich, one arbitrator, in English.
